You've got to be fairly impressive to get Lady Grey interested in going to bed with your hero. I mean, your Attractiveness level should be close to +100, and you have to show her that you have the "means" to maintain the style to which she has become accustomed. In other words, to get her to warm up to your hero, you have to provide her with such gifts as rubies, emeralds, and diamonds once the hero has married her.
A word of caution, though, don't just start handing her ruby after ruby, or emerald after emerald, or diamond after diamond, or she'll become bored with the gifts you're providing her, and less likely to want to "go to bed." Additionally, IIRC, you should never give her a black rose after the first one you give her.
Also, if Lady Grey starts saying things like, "I really do love you, you old silly," or singing "How happy we are..." she's on the verge of wanting to go to bed with the hero.
Oh, I almost forgot, having a high Reputation is also important regarding dealing with Lady Grey on more "intimate" matters. If your hero has reached Legendary status, Lady Grey finds that very appealing.
